Effective June 25, 2026
These Terms & Conditions (“Terms”) govern access to weinudistribution.com (the “Site”) and transactions accepted by ANUWEI LLC, doing business as Weinu Distribution (“Weinu Distribution,” “we,” “us,” or “our”). By using the Site, creating an account, submitting an inquiry or order, or purchasing directly from us, you agree to these Terms and the policies linked on the Site. A separately signed agreement controls to the extent it expressly conflicts with these Terms.
Eligibility and Account Responsibility
The Site may be used by individual customers, business purchasers, suppliers, and other authorized users. You represent that you are at least 18 years old, are legally able to enter into these Terms, and will provide accurate and current information. If you act for a business or organization, you represent that you have authority to bind it. You are responsible for safeguarding account credentials and for activity under your account, except to the extent caused by our failure to use legally required safeguards.
Catalog; No Implied Affiliation
Site content is for general information and may change. Product names, images, descriptions, packaging, and trademarks belong to their respective owners and are used for identification. Their appearance does not imply sponsorship, endorsement, authorized-distributor status, or other affiliation unless we expressly confirm it in writing.
Product Information, Labels, and Safety
We make reasonable efforts to present accurate product information, but manufacturers and suppliers may change packaging, ingredients, materials, specifications, warnings, directions, country of origin, or availability. Images may be illustrative. Before use, read and follow the actual product label, ingredients, allergen statements, warnings, directions, expiration or lot information, and manufacturer instructions. Do not rely solely on Site information for allergies, medical conditions, pet health, pesticide use, or other safety-sensitive decisions.
Site content is not medical, veterinary, legal, or other professional advice. Use products only as labeled and intended. Contact the manufacturer or an appropriate professional if you have a product-specific health, safety, suitability, or compatibility question.
Orders, Quotes, and Acceptance
A cart, checkout submission, inquiry, quote request, purchase order, or payment submission is an offer to buy—not our acceptance. We may verify account information, quantities, intended use, resale or tax credentials, shipping requirements, payment, availability, and compliance before accepting.
An automated acknowledgment, order number, invoice draft, pending card authorization, payment-processor message, or “order received” email confirms only that information was received. It does not mean an order has been accepted. An order is accepted only when we send an express written acceptance or shipment confirmation, or otherwise clearly state in writing that the order is accepted.
We may reject, limit, hold, or cancel an order for availability, quantity limits, pricing or description errors, suspected fraud, payment or verification issues, product or channel restrictions, legal or carrier requirements, safety concerns, or other legitimate business reasons. If we cancel an unaccepted or accepted order after collecting funds, we will refund the canceled amount as required by law.
Failed, Interrupted, or Incomplete Transactions
An attempted, failed, interrupted, incomplete, duplicated, or apparently successful checkout does not create an accepted order or obligate us to reserve, source, ship, or sell any product. A temporary authorization, pending charge, technical error, or payment-processor status does not establish acceptance. If funds are captured for a transaction we do not accept, we will void or refund the amount as required by law. Your financial institution may control how quickly a pending authorization or refund becomes available.
Availability, Errors, and Quantity Limits
Inventory indicators, catalog listings, and estimated availability are not guarantees. We may correct errors, request additional information, allocate limited inventory, impose purchase limits, discontinue products, or cancel affected orders. We will not substitute a materially different product without your agreement.
Pricing, Payment, and Taxes
Prices are in U.S. dollars unless stated otherwise and may be website-, catalog-, promotional-, volume-, channel-, or quote-specific. Final product price, shipping and handling, accessorial charges, taxes, and other disclosed charges are confirmed for each accepted transaction. Payment terms appear at checkout or in the accepted quote, invoice, or order confirmation.
A payment authorization may place a temporary hold on funds but is not proof of acceptance. We may correct a pricing error before acceptance. The customer is responsible for applicable sales, use, excise, customs, duties, and similar transaction charges, except taxes based on our net income. Tax-exempt treatment requires valid documentation before the transaction is completed.
Promotions and Credits
Promotions, discount codes, and account credits are subject to their stated terms, availability, dates, exclusions, and limits. They have no cash value unless law requires otherwise, may not be combined unless stated, and may be canceled or corrected if obtained through error, fraud, or unauthorized use.
Customer Compliance and Resale
Customers are responsible for determining product suitability and for complying with applicable use, storage, handling, transport, import, export, and disposal requirements. Customers purchasing for resale are also responsible for applicable licensing, taxes, labeling, recalls, marketplace rules, manufacturer policies, pricing requirements, and channel restrictions. No right to use a brand’s intellectual property is granted except as permitted by law or separate written authorization.
Shipping, Title, Inspection, and Returns
Our Shipping Policy and Returns & Refunds Policy are incorporated into these Terms. Order-specific shipping or return terms control if stated at checkout or in an accepted quote or confirmation. Title and risk of loss transfer as stated in the accepted order and applicable law. Any commercial freight term allocating risk when goods are tendered to a carrier applies only where expressly stated and legally permitted.
Customers must inspect deliveries promptly and follow the applicable claim procedures. Nothing in these Terms eliminates a consumer right or remedy that cannot lawfully be waived.
Product Complaints, Safety Notices, and Recalls
Promptly report a suspected safety issue, adverse incident, contamination, tampering, mislabeling, or recall concern to info@weinudistribution.com with the product name, UPC or SKU, lot or date code, order number, photos, and a description of the issue. Stop using the product if continued use may be unsafe and follow official manufacturer or government instructions. We may contact customers, request information, suspend sales, cooperate with suppliers or authorities, and take other actions reasonably necessary to address a safety notice or recall.
Acceptable Use and Intellectual Property
You may use the Site only for lawful personal or business purposes. You may not interfere with security or operation; introduce malicious code; scrape, probe, or access systems without authorization; impersonate another party; submit false or misleading information; violate another party’s rights; use the Site to facilitate unlawful conduct; or copy, modify, distribute, or commercially exploit Site content without permission. Site content is owned by or licensed to Weinu Distribution and is protected by applicable law.
Third-Party Services
Links, embedded tools, payment services, carrier systems, and other third-party services are provided for convenience or functionality. Their availability, content, security, and practices are controlled by the third party and governed by its terms. We are not responsible for a third party’s independent acts or omissions, except to the extent applicable law provides otherwise.
Electronic Communications and Records
You agree that we may provide transactional communications, order records, notices, and disclosures electronically through the Site, your account, or the contact information you provide. You are responsible for keeping that information current. Electronic records and actions may be used to evidence transactions to the extent permitted by law. Where applicable law requires a particular consent or paper option, that law controls.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, SITE SERVICES, AND SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM WARRANTIES REGARDING UNINTERRUPTED ACCESS, SECURITY, ERROR-FREE OPERATION, OR THE COMPLETENESS OR CURRENT ACCURACY OF SITE CONTENT, PRICES, OR AVAILABILITY.
EXCEPT FOR A WRITTEN WARRANTY EXPRESSLY ISSUED BY WEINU DISTRIBUTION, WE DO NOT PROVIDE AN INDEPENDENT PRODUCT WARRANTY. A MANUFACTURER OR OTHER THIRD PARTY MAY PROVIDE A WARRANTY SUBJECT TO ITS OWN TERMS AND ELIGIBILITY RULES. NOTHING IN THESE TERMS DISCLAIMS OR LIMITS AN EXPRESS OR IMPLIED WARRANTY, PRODUCT-LIABILITY DUTY, OR OTHER RIGHT THAT CANNOT LAWFULLY BE DISCLAIMED OR LIMITED.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEINU DISTRIBUTION AND ITS OWNERS, AFFILIATES, PERSONNEL, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION ARISING FROM THE SITE OR AN ORDER.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGGREGATE LIABILITY RELATING TO AN ORDER WILL NOT EXCEED THE AMOUNT PAID FOR THE AFFECTED PRODUCTS, AND AGGREGATE LIABILITY RELATING ONLY TO USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITS DO NOT APPLY TO PERSONAL INJURY CAUSED BY CONSUMER GOODS, FRAUD, WILLFUL MISCONDUCT, OR ANY LIABILITY OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Weinu Distribution and its owners, affiliates, personnel, and service providers from third-party claims, losses, and reasonable costs arising from your unlawful use of the Site, material breach of these Terms, false transaction information, misuse or unlawful resale of products, or infringement of another party’s rights. This section does not require an individual consumer to indemnify us for our own negligence, product defect, or conduct for which indemnification cannot lawfully be required.
Force Majeure
We are not liable for delay or failure caused by events beyond our reasonable control, including supplier or carrier disruption, labor disputes, shortages, severe weather, disasters, fire, cyber incidents, public-health events, utility or network failures, or government action. This section does not excuse an obligation to provide a cancellation option or refund when required by law. We will use commercially reasonable efforts to communicate material effects on accepted orders.
Informal Dispute Resolution
Before filing a claim, you and Weinu Distribution agree to make a good-faith effort to resolve the dispute informally. Send a written notice describing the transaction, relevant facts, documents, and requested resolution to info@weinudistribution.com. The parties will have 30 days after receipt to attempt resolution. This requirement does not prevent either party from seeking urgent injunctive relief or using a small-claims process where eligible, and it does not extend a legal filing deadline unless agreed in writing.
Governing Law and Venue
These Terms are governed by applicable federal law and the laws of the State of New York, without regard to conflict-of-law principles. Subject to any nonwaivable consumer right, dispute-resolution rule, or small-claims option, any court proceeding must be brought in a court of competent jurisdiction serving the New York county in which ANUWEI LLC maintains its principal office, and each party consents to that venue.
Time Limit on Claims
To the extent permitted by law, a claim arising from a sale of goods, the Site, or these Terms must be filed within one year after the claim accrues. This period does not apply where a shorter period is prohibited, where a longer nonwaivable period applies, or to a claim that cannot lawfully be shortened.
General Terms
If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. Failure to enforce a right is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, financing, reorganization, sale, or transfer of business assets. Headings are for convenience only. Provisions that by their nature should survive—including payment, intellectual property, disclaimers, liability limits, indemnification, dispute terms, and record provisions—survive termination.
These Terms, the incorporated policies, accepted order terms, and any controlling signed agreement constitute the agreement for the relevant subject matter. We may update these Terms prospectively by posting a revised effective date. The version in effect when the relevant use or transaction occurs will apply, unless a later change is required by law or separately accepted.
